Basic Definitions

This Terms of Use Agreement ("Agreement") explain the legally binding terms and conditions for the use of all the CityWoofer Services. The user is allowed to access the CityWoofer Services (regardless of whether the access or use is intended) only if all the applicable laws are followed, and this particular agreement is agreed upon by the user. By using the CityWoofer Services, the user agrees to be bound by this Agreement, whether as a "Visitor" (which means simply browsing the CityWoofer website) or as a "Member" (which means registering with CityWoofer). The term "User" refers to a Visitor or a Member.

The term 'authorized user' would refer to any person or a legal entity who has subscribed to the services of CityWoofer, and has a username and password to access the CityWoofer services. CityWoofer will not be responsible for any consequences, costs, or damages caused to any persons or entities due to any unauthorized use of the services offered by CityWoofer, including access of the said services by an unauthorized user using the username and password of an authorized user, regardless of whether such unauthorized user is known to the authorized user or not.

The terms 'service' or 'services' would mean to include the online solutions & information services offered by CityWoofer on the internet through which the user may access information carried by CityWoofer in the database maintained by it. Moreover, the user also agrees not to copy, sell, resell or duplicate any part of CityWoofer's services & solutions for any commercial motives.

These Terms of Service put forth the legally binding terms of use of CityWoofer and membership in CityWoofer. These may be modified by CityWoofer at any time without any prior notice, such modifications to be effective upon posting by CityWoofer on the website. In the event of any inconsistency between our Privacy Policy and these Terms of Service, the Terms of Service shall prevail. If the user does not agree to be bound by the terms of this Agreement, he/she may not use nor access our services.

Information Sharing

We will always obtain your prior specific consent before we share or disclose your personally identifiable information to any partner, and/or user. However, we are also accountable to disclose user information and the contents of the accounts to the local law enforcement authorities under specifically defined circumstances. In case of CityWoofer service getting merged or acquired, we will be informing about such developments on our website in advance.

If your details are in public domain on our site, you may receive unsolicited messages from users in CityWoofer.com as well as from the external sources.

When you have opted for receiving related information, we will use your information to show you relevant advertisements, contents, events from us and our partners. Access to your name, email address and private details is restricted to our employees only, who are bound by confidentiality obligations of the company.

Service

CityWoofer primarily provides self-managed event organizing services to the event organizers. For this, the event organizers set up their event and provide the relevant details about their event (such as event pricing, location, ticket inventory, attendee registration and other such details). As used herein, the term "Customers" refers to the CityWoofer event organizers ("Event Organizer"), registered event attendees ("Attendee") and participants in the various affiliate programs.

Event Organizer Terms

CityWoofer provides organizers with a web-based solution for event organization, ticket sales, and online attendee registration through the CityWoofer website. Organizers utilize CityWoofer to facilitate the payment process for events, including selling tickets to customers.

In this capacity, it is expressly understood that the agreement entered into for an event, as well as the disposal of tickets for that event, is solely between the user and the organizer. CityWoofer, throughout the entire process, functions as an independent contractor and not as a sales agent. The role of CityWoofer is to offer a platform and tools for organizers, empowering them to manage events, sell tickets, and handle attendee registration independently.

Unlike a sales agent, CityWoofer does not act on behalf of or for the account of the organizer. Instead, CityWoofer operates as an independent contractor in the provision of its services. The organizer retains full responsibility for instructing ticket buyers regarding any potential right of objection in accordance with legal guidelines.

Furthermore, the organizer grants CityWoofer authorization, for the duration of this agreement, to act as an independent contractor. This authorization includes the facilitation of ticket sales to the public for events listed on the CityWoofer website. CityWoofer is responsible for handling the payment process with ticket buyers and/or their banks, as well as coordinating the shipment of tickets to the buyers.

On CityWoofer.com, we have many pages containing links to external websites. You are advised to verify the privacy policies of such externally linked websites. We are not responsible for the manner of use, or misuse of information made available by you at such other external websites. We encourage you not to provide Personal Information, without assuring yourselves of the privacy policy of external linked websites.

Payment and Fees

CityWoofer products & services are available on the basis of a transaction model, as per the requirements of customers.

Transaction model

In this model, pricing is applied on each ticket sale/registration.

The organizer has to determine the base price for the tickets. This base price belongs to the organizer as far as nothing different is stated in these terms. The organizer can choose whether the additional fees payable to CityWoofer (for accounting, shipment, etc.) are charged on top of this base price or not.

CityWoofer charges a fee for every ticket sold via the CityWoofer website (convenience-fee) as stated in the price list published on the CityWoofer website.

In addition to that CityWoofer charges a fee for accounting tickets as well as for using the CityWoofer website by the organizer (ticketing-fee) as stated in the price list published on the CityWoofer website. The rate of the fee depends upon the payment method chosen by the organizer.

In the event that tickets for an event have been sold via the CityWoofer website, and the event is cancelled for any reason not directly attributable to CityWoofer, then CityWoofer shall continue to be entitled to the convenience fees and ticketing fees.

Cancellation

If you desire to cancel your services, please email hello@citywoofer.com at least 30 days before expiry of the service. There is no cancellation fee. Please note that your content may not be recovered, once your account has been cancelled. There will be no refund if you cancel the service before the end of your current, paid-up month or year.

Termination

You agree that CityWoofer, based on its discretion, may terminate your Member Account and access to the site for reasons including, but not be limited to, violations of the Terms or the CityWoofer Privacy Policy, a request by you to terminate your Account, discontinuance or material modification to the Services, unexpected technical issues or problems, extended periods of inactivity and requests by law enforcement or other government agencies. Termination of your CityWoofer account includes elimination of access to the service, deletion of your account information such as your e-mail ID and password, and deletion of data in your member account as under the law.

Applicable Laws

The laws pertaining to the Republic of India shall govern all matters related to your access to and use of the CityWoofer site. Moreover, you hereby irrevocably.

Change of an event

If an event for which tickets are sold or already have been sold via CityWoofer shall be cancelled or changed (regarding date, time, venue, etc.) the organizer has to inform CityWoofer immediately in writing as soon as these circumstances have come to attention.

Accounting

The organizer has options of various payment methods (credit card, direct debiting, prepayment, invoice) to be offered to the ticket buyers. In accordance to this choice, CityWoofer undertakes accounting for the organizer and holds the money on a separate bank account. The organizer authorises CityWoofer to do so. CityWoofer transfers the money received according to service pricing minus the fees payable to CityWoofer within 5 to 7 days to the organizer. The money has to be transferred to a bank account located in the country where the event took place and issued on the name of the organizer. For recurring events, CityWoofer reserves the right to pay out money before the event. CityWoofer reserves the right to change the number of days to transfer money to the event organizer at any time without prior notice. The organizer is aware of the risk that specific payment methods (direct debiting or credit card) can be reversed by the ticket buyers. The organizer bears this risk alone. If transactions are reversed after the payment to the organizer, these costs plus a fee for the reversed transaction as stated in the price list published on the CityWoofer websites are charged to the organizer.

The organizer is obliged to raise objections, if any, against the accounts of CityWoofer within four weeks of the issue of the account. If not done within the stipulated time, the account is automatically considered as being approved by the organizer.

Prevention Against Fraud/Mis-usage

Extensive security system are deployed on the CityWoofer website, particularly to protect organizers against reimbursement of credit card payments. Because of this security system, it is possible that in some exceptional cases some credit card providers may not be accepted.

If the organizer arouses any suspicion of mis-usage of the CityWoofer website, CityWoofer reserves the right to deactivate or suspend the ticket shop of the organizer with immediate effect. In particular, a suspicion of mis-usage of the CityWoofer website is on hand, if it comes to attention before the event that the event shall not (or not in the way as already stated) take place or illegal or immoral events shall take place.

If the organizer arouses suspicion of mis-usage of the CityWoofer website, CityWoofer has the right to delay the payout to the organizer even after 5 to 7 days for further 60 days. Within these 60 days CityWoofer will check if an improper use of the CityWoofer website and / or other CityWoofer services occurred.

Warranty of the organizer

The organizer warrants to CityWoofer, that

  • 1. There is no agreement between the organizer and a venue, or the owner or user of venue, or a third party, which affects the organizer’s use of the CityWoofer Services in accordance with these terms,
  • 2. The organizer is allowed to enter into this agreement with CityWoofer, including the right to authorize CityWoofer in accordance to these terms to act on behalf of the organizer as an independent contract and to sell tickets for events of the organizer.

Duties of the organizer

It is the duty of the organizer to inform CityWoofer immediately about any sort of malfunctions in the CityWoofer website. The organizer shall also inform CityWoofer immediately about every change of his name, company name, address, legal form or bank details in written form or via E-Mail.

The organizer shall in no case use the CityWoofer’s platform and services for illegal or immoral events such as political or religious extremism, pornographic, or violent events.

Moreover, the organizer shall not use the CityWoofer services to upload, post, email, or transmit any information which is unlawful, harmful, threatening, abusive, defamatory, vulgar, obscene, or is otherwise objectionable.

The organizer shall not impersonate any person or entity, including, but not limited to, a CityWoofer representative, forum leader, or falsely state its association or affiliation with a person or entity.

The organizer shall not forge headers or otherwise manipulate identifiers with an intent to disguise the origin of any information transmitted through the service.

Duration

Furthermore CityWoofer reserves the right to cancel this agreement owing to unavoidable circumstances. Such circumstances shall exist, if the organizer has contravened against important provisions of these terms or the organizer has filed for bankruptcy, insolvency proceedings have been started or the start of the insolvency proceedings has been dismissed in default of assets or circumstances occur that the organizer can not fulfill his contractual obligations against CityWoofer or third parties in default of assets, and in addition the organizer gives no proof of sufficient assets within 30 days after request by CityWoofer to do so.

Limitation of Liability

You agree that CityWoofer shall, in no event, be liable for any consequential, incidental, indirect, special, punitive or other loss or damage whatsoever or for the loss of business profits, business interruptions, computer failure, loss of business information, or other loss arising out of or caused by your use of or inability to use this website, even if CityWoofer has been advised of the possibility of such damage.

The venue, event organizers, events services 'marketplace' information provided on CityWoofer are all added by members. CityWoofer only provides the platform, and doesn't verify, claim or guarantee authenticity of such information. Hence, CityWoofer can not be held liable for the acts, errors, omissions, representations, warranties, breaches or negligence of any such suppliers or for any personal injuries, property damage, or other damages or expenses resulting there from. CityWoofer has no liability, and will make no refund in case of any delay, cancellation, or other causes beyond its direct control, and it have no responsibility for any additional expense, omissions, delays, re-routing or acts of any government or authority. CityWoofer makes no representations or warranties as to the completeness or accuracy of information that has been published on the website. You agree that CityWoofer shall not be held liable for any damages arising from causes beyond the control of the CityWoofer. You further acknowledge that CityWoofer's liability for its own negligence may not in any event exceed an amount equivalent to charges payable by you for services during the period damages occurred.

Indemnity

You agree to indemnity and hold CityWoofer, and each of its directors, officers, agents, contractors, partners and employees, harmless from and against any loss, liability, claim, demand, damages, costs and expenses, including reasonable attorney's fees, arising out of or in connection with any user content, any third party applications, content or software you post or share on or through the website (including through the Share Service), your use of this website, or any violation of this Agreement or of any law or the rights of any third party.consent to the exclusive jurisdiction and venue of courts in Chandigarh in all disputes arising out of or relating to the use of CityWoofer site and services. Use of CityWoofer is unauthorized in any jurisdiction that does not give effect to all provisions of these terms and conditions, including without limitation this paragraph.

Ticket Buyer Terms

The CityWoofer website displays price payable for the tickets for different events.Tickets will either be available for collection at a designated location before the event, or will be distributed via post or other methods.

Once you have received your tickets, you should thoroughly check them, and you must inform us of any errors within two working days, or before the event, whichever is sooner. The event organizer, the venue where the event is organized reserve the right to refuse admission to you refuse re-admission to those leaving during the event and request that you leave the event and make alterations to the script or the content of any particular event at any time up to and including and during the event.

If, at any time during the event it is cancelled, postponed, suspended or delayed for any reason, CityWoofer will not make any refunds nor will it be liable for any loss caused by such cancellation, postponement, suspension or delay.

In case of an event being cancelled or rescheduled, it is the sole responsibility of the user to ascertain. We do not take the responsibility that the ticket holders will be informed of such cancellation before the date of the event.

Tickets for an event are issued subject to the pre-defined rules and regulations, as specified by event organiser. Any violation, of any of these rules and regulations or any unacceptable behaviour likely to cause damage, nuisance or injury shall entitle the venue or event organiser to eject you from the venue. Also, CityWoofer is not responsible for any lost or stolen tickets.

Tickets may be restricted to a maximum number per person, or based upon some other parameters. CityWoofer also reserves the right to cancel tickets without prior notice, if purchased in excess of this specified number.

General Terms

Advertising Material: CityWoofer will not be held liable for any improper or inappropriate advertisement contents, due to the dynamic nature of web, invisible/hidden contents, error, omission or inaccuracy in printed or digital form. CityWoofer also reserves the right to remove or reposition the advertising material.

Safe Harbor

The information on the CityWoofer website related to its future prospects is forward-looking in nature, which involves a number of risks and uncertainties that could cause actual results to differ materially from those that may be indicated by this forward looking information.

Intellectual Property Rights

You agree that CityWoofer owns all rights to the code, databases, visual-design and layout of the services on its platform.

However, CityWoofer claims no intellectual property rights over the material provided by you. Your profile, along with all the materials uploaded by you, remain yours.

You may not use any robot, spider, other automated device, or manual process to monitor or copy any content from the Service.

You may not resell, duplicate or reproduce or exploit any part of the Service without the written consent permission of CityWoofer.

You may not duplicate, copy, or reuse any portion of the visual design or layout of the Service without the prior written permission of CityWoofer.

Information Disclosure

CityWoofer may also collect, use and disclose personal information of the user for the security related or law enforcement investigations or in cooperating with authorities or complying with the legal requirements.

Disclaimer of Warranties

You agree that the CityWoofer services are provided on an "AS IS" and "AS AVAILABLE" basis and that the CityWoofer does not assume any responsibility for prompt or proper delivery of the services. CityWoofer does not warrant that its websites will operate error-free or free of computer viruses or mal-functioning or harmful mechanisms. Moreover, this website does not assume any responsibility for the accuracy of any communications between the users. CityWoofer also disclaims all warranties of any kind, including, but not limited to the implied warranties of merchantability, fitness for a particular purpose and non-infringement.

CityWoofer makes no warranty that the services will meet your requirements or that the services will be uninterrupted, timely or secure. Certain links on website lead to resources located on servers maintained by third parties over whom CityWoofer has no control, business or otherwise, you agree and understand that by visiting such sites you are beyond the CityWoofer website. CityWoofer therefore neither endorses nor offers any warranty and accepts no responsibility for the authenticity of any of the goods/services/or for any damage, direct or consequential or any violation of local or international laws that may be incurred by your visit and/or transaction(s) on these third-party websites.

Any material downloaded through the use of this website is done at your own discretion, and you will be solely responsible for any damage to your computer system or loss of data as a consequence of any such material.

Notice and Takedown Policy

  • 1. COPYRIGHT INFRINGEMENT NOTIFICATION

    If the owner of a copyright-protected work or an agent authorized to act on the copyright owner’s behalf (the “Owner”) believes that any of the work that is posted on CityWoofer.com (“the Site”) is infringing, in any way, the owner’s copyright under the relevant law, the owner of the content may submit a copyright infringement notification.

  • 2. COPYRIGHT INFRINGEMENT NOTIFICATION PROCEDURE

    We recommend the owners of copyright protected content to report the copyright infringement by the method of submitting a written complaint (the “Complaint”) either through a web-form (recommended) or through email on hello@citywoofer.com.

    The complaint must include the following:

    • 1. Contact Information: The owner of the copyright protected content will have to provide his/her contact information, such as an email address, physical address or a telephone number.
    • 2. Description of Work: The owner must also provide, an accurate description of the copyrighted content that he/she is seeking to protect. This MUST also include the specific URL of that particular content on CityWoofer.com, that the Owner believes to be infringing in nature. This is necessary for us to locate the alleged content. The URL should be in the following format: https://www.CityWoofer.com/____/
    • 3. Necessary Format: The Complaint should exactly include the following statements – “I have a good faith belief that the use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law.” AND “The information in this notification is accurate, and I am the owner, or an agent authorized to act on behalf of the owner, of an exclusive right that is allegedly infringed.”
    • 4. Signature: The complaint filed by the owner should bear the physical or electronic signature/digital signature of the owner.
  • 3. TAKE-DOWN OF COPYRIGHT INFRINGING WORK

    If complaint by the owner that is submitted in accordance with the procedure in Clause 2, and is found to be valid, CityWoofer may refrain from allowing access to the content in question, for a period of 21 (twenty one) days or until an order from a competent court is received, whichever is earlier. If CityWoofer does not receive any such order before the expiry of these twenty-one days, CityWoofer may reinstate access to the said work.

  • 4. NOTIFICATION OF OBJECTIONABLE CONTENT AND TAKE-DOWN BY CITYWOOFER

    Complaint against the objectionable content can be submitted by the users by means of a written complaint (the “Complaint”) either through a web-form (recommended) or through email on hello@citywoofer.com.

    The Complaint should include the following:

    • 1. Contact Information: The owner of the copyright protected content will have to provide his/her contact information, such as an email address, physical address or a telephone number.
    • 2. Description of Work: The owner must also provide, an accurate description of the copyrighted content that he/she is seeking to protect. This MUST also include the specific URL of that particular content on CityWoofer.com, that the Owner believes to be infringing in nature. This is necessary for us to locate the alleged content. The URL should be in the following format: https://www.CityWoofer.com/_____/
    • 3. Necessary Format: The complaint must include the following statements – “I have a good faith belief that the use of the material in the manner complained of violates any law, or the conditions in Clause 4 of CityWoofer’s Notice and TakeDown Policy” AND “The information in this notification is accurate to my knowledge”

    If CityWoofer determines, in its sole discretion and judgment, that the User Content violates any of the aforementioned conditions, it shall be entitled to immediately takedown or otherwise block access to User Content.

  • 5. CITYWOOFER IMMUNITY FROM LIABILITY

    CityWoofer acts as an intermediary, and shall not be held liable for any act of copyright infringement or any other objectionable User Content, as provided under the Copyright Act, 1957, Information Technology Act, 2000 and Rules thereunder.

  • 6. CITYWOOFER HAS THE PERMISSION TO SEND TEXT MESSAGES TO ITS USERS
